1. Terms and Conditions
Effective date: 3 August 2026
These Terms and Conditions (“Terms”) govern your access to and use of the Grid X service, website, web app, app and kiosks. By creating an account or using any Grid X service, you agree to these Terms. If you do not agree, do not use the service.
1.1 Who we are
The Grid X service is operated by Grid X Limited (“Grid X”, “we”, “us”, “our”), a private company limited by shares incorporated in Nigeria under the Companies and Allied Matters Act 2020, with registration number RC 9229541 and registered office at 18 Beckley Avenue, Millennium Estate, Gbagada, Lagos State, Nigeria. Grid X provides renewable-energy-powered kiosks offering device charging and co-working space, primarily on Nigerian tertiary campuses. You can contact us at grid.x.admin@gridxnetwork.com.
1.2 Eligibility and accounts
Grid X is open to any member of the public, whether or not you are a student. To use the service you must be able to form a legally binding contract. If you are under 18, you may use Grid X only with the involvement and consent of a parent or guardian, who accepts these Terms on your behalf.
You must register for an account with accurate information, keep your login details secure, and not share your account or let anyone else use it. You are responsible for activity that happens under your account. Each person may hold one account.
1.3 Grid X credit and payments
The service runs on Grid X credit. You add credit to your account (“top up”) and that credit is converted into charge units used to pay for charging, workspace, and reservations. Top-ups are processed by our payment provider, Paystack. Grid X does not collect or store your card or bank details; these are handled by Paystack under their own terms and security standards.
Grid X credit is non-refundable and cannot be withdrawn or converted back to cash. Once you purchase credit, it is applied to your account as charge units. Please see the Refund Policy (section 3) for the limited exceptions that apply to failed or duplicated transactions and confirmed service failures.
We may change our prices, credit rates, and the number of charge units required for a service from time to time. Changes apply to purchases made after the change takes effect and do not alter credit you have already used.
1.4 Student discount
Students of public tertiary institutions in Nigeria (including federal and state universities, polytechnics, and colleges of education) are eligible for a discount. Students of private institutions are not eligible.
The discount is optional and is not required to use Grid X. To claim it, you upload proof of student status — a valid student ID card or a document showing your matriculation number — which a Grid X administrator reviews and approves. If we cannot verify your student status, or if any information or document you provide is false or misleading, the discount will not apply (or will be reversed) and standard rates will be charged. We may withdraw a discount previously granted if it was obtained on the basis of inaccurate information.
1.5 Reservations
You can reserve a station from the app. When you reserve, the required credit is deducted from your account immediately and held against that reservation. Your ability to edit or cancel a reservation, and what happens to the deducted credit, is governed by the Reservation Cancellation and No-Show Policy (section 4). In summary: a reservation can be cancelled or edited only within the applicable window, a valid cancellation returns the credit to your account, and credit for a locked reservation or a no-show is forfeited.
1.6 Using the Kiosks
Kiosks operate from 8:00 am to 6:00 pm daily, and a Grid X staff member is present during operating hours. You must follow the reasonable instructions of Grid X staff and the Acceptable Use Policy (section 5) while using any kiosk.
Access to a station may require checking in at the kiosk, including verification by a staff member.
For safety and security purposes, Grid X kiosks may be equipped with video surveillance cameras. Where cameras are in use, appropriate notices will be displayed at the kiosk. Video footage may be recorded and used for purposes such as protecting users, staff and property, preventing or investigating theft, fraud, vandalism or other security incidents, and complying with applicable legal or regulatory requirements. Any personal data collected through video surveillance will be handled in accordance with our Privacy Policy and applicable data protection laws.
1.7 Account deletion
You may delete your account at any time from the app. Because Grid X credit is non-refundable, any unused credit remaining on your account at the time of deletion is forfeited and cannot be recovered. You will be shown a clear warning of any remaining balance and asked to confirm before deletion is completed.
1.8 Suspension and termination by Grid X
We may suspend or close an account, or refuse service, if you breach these Terms or the Acceptable Use Policy, provide false information, misuse the service or kiosks, or act in a way that is unlawful, unsafe, or harmful to other users, our staff, or our equipment. Where we do so because of your breach, unused credit may be forfeited.
1.9 Availability of service
We aim to keep the service and kiosks available during operating hours but do not guarantee uninterrupted availability. Kiosks may be unavailable due to maintenance, power conditions, faults, or circumstances beyond our control. Where a confirmed service failure prevents you from using credit you have paid for, the remedy is as set out in the Refund Policy (section 3).
1.10 Your devices and belongings
You are responsible for your own devices, property, and belongings at all times while using a kiosk. You use charging facilities at your own risk and should ensure your equipment and charging accessories are in good working order. To the extent permitted by law, Grid X is not liable for loss of, or damage to, your devices or belongings, except where such loss or damage is caused by our negligence.
1.11 Intellectual property
The Grid X name, logo, website, app, and content are owned by Grid X Limited and may not be copied or used without our permission. Nothing in these Terms transfers any of our intellectual property to you.
1.12 Limitation of liability
To the fullest extent permitted by Nigerian law, Grid X is not liable for indirect, incidental, or consequential loss, or for loss of data, profit, or opportunity, arising from your use of or inability to use the service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Nigerian law, including liability for death or personal injury caused by our negligence.
1.13 Changes to these Terms
We may update these Terms from time to time. When we do, we will post the updated version and change the effective date. Your continued use of Grid X after an update means you accept the revised Terms.
1.14 Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter amicably through good faith negotiations.
If the dispute is not resolved through negotiation within a reasonable period, it shall be referred to and finally resolved by arbitration in accordance with the applicable arbitration laws of Nigeria. The place and procedure of arbitration shall be as agreed by the parties or, failing such agreement, as determined by the applicable arbitration rules.
Only where the dispute cannot be resolved through arbitration shall it be submitted to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

2. Privacy Policy
Effective date: 3 August 2026
This Privacy Policy explains what personal data Grid X collects, how we use and protect it, and your rights. It is intended to comply with the Nigeria Data Protection Act (NDPA) 2023.
2.1 Who is responsible for your data
Grid X Limited (RC 9229541), 18 Beckley Avenue, Millennium Estate, Gbagada, Lagos State, Nigeria, is the data controller responsible for your personal data. For any privacy question or request, contact grid.x.admin@gridxnetwork.com.
2.2 What we collect
Account information: your name, email address, and phone number.
Student-discount information (only if you claim the discount): your matriculation number and an uploaded student ID or matric-number document, used to verify student status.
Transaction and wallet information: your credit balance, top-ups, and usage history. Your card and bank details are entered with and handled by Paystack; Grid X does not collect or store them.
Reservation and check-in information: stations you reserve and your check-in activity at kiosks.
Communications: messages you send us and, if you opt in, your subscription to our newsletter.
Technical and usage data: basic information collected when you use the website and app, for security and to keep the service working.
2.3 How we use your data and our lawful basis
We use your data to: create and manage your account and provide the service (to perform our contract with you); process top-ups and maintain your credit balance (contract; and via Paystack); verify eligibility for the student discount (your consent, given when you submit proof); keep the service and kiosks secure and prevent misuse (our legitimate interest); send you service-related messages (contract); send newsletters and marketing where you have opted in (your consent); and comply with our legal obligations.
2.4 Student ID and verification documents
We collect a student ID or matric-number document only from users who choose to claim the student discount, and only to verify student status. Once an administrator has verified your status, the uploaded document is deleted. We keep only a record that your status was verified, not the document itself.
2.5 Payment data
Top-ups are processed by Paystack. When you pay, your payment details are provided to and processed by Paystack under their own privacy and security terms. Grid X receives confirmation of payment and the amount but does not receive or store your card or bank account details.
2.8 How long we keep your data
We keep your account and transaction data for as long as your account is active and as needed to run the service and meet legal and accounting obligations. Verification documents are deleted after verification, as described in clause 2.4. When you delete your account, we delete or anonymise your personal data except where we are required to retain limited records by law.
2.9 Your rights
Under the NDPA you have the right to access your personal data, to have it corrected, to request its deletion, to object to or restrict certain processing, and to withdraw consent (including for marketing) at any time. To exercise any of these rights, contact grid.x.admin@gridxnetwork.com. We will respond within the timeframe required by law.
2.10 Data security
We take reasonable technical and organisational measures to protect your data against loss, misuse, and unauthorised access. No system is completely secure, but we work to keep your information safe and to limit access to those who need it.
2.11 Where your data is processed
Some of our providers (such as Vercel) may process or store data on servers outside Nigeria. Where data is transferred outside Nigeria, we take steps to ensure it remains protected to a standard consistent with the NDPA.
2.12 Children
If you are under 18, you may use Grid X and provide personal data only with the consent and involvement of a parent or guardian. If we learn that we have collected a minor's data without appropriate consent, we will take steps to delete it.
2.13 Video Surveillance and Security at Grid X Kiosks
For the safety and security of our users, staff, kiosks, stations, equipment and other property, Grid X may operate video surveillance cameras (CCTV) at or around its kiosk locations.
Where video surveillance is in operation, Grid X may display appropriate notices or signs informing users and visitors that recording is taking place.
What the cameras may collect
Our surveillance systems may capture images and video footage of individuals who enter, use or are present at or around a Grid X kiosk.
Our cameras are intended primarily for safety and security purposes and are not intended to record private conversations.
Why we use video surveillance
We may use surveillance footage where reasonably necessary to:
- protect the safety and security of users, staff and members of the public;
- protect Grid X kiosks, stations, equipment and other property;
- prevent, detect and investigate theft, fraud, vandalism, misuse, unauthorised access and other security incidents;
- investigate accidents, complaints, disputes or incidents occurring at or around our kiosks;
- enforce our Terms of Use and Acceptable Use Policy;
- establish, exercise or defend legal claims; and
- comply with applicable legal, regulatory or law-enforcement requirements.
We generally process surveillance information on the basis of our legitimate interests in maintaining the safety and security of our users, staff, services and property, and where necessary to comply with applicable legal obligations.
Who can access surveillance footage
Access to surveillance footage is restricted to persons who reasonably require access for an authorised purpose. This may include authorised Grid X personnel and authorised security or technology service providers acting on our behalf.
Where necessary and permitted by law, relevant footage may also be provided to law-enforcement agencies, regulators, courts, insurers, professional advisers or other authorised third parties for security, investigative, legal or regulatory purposes.
We do not sell video surveillance footage.
How long we keep surveillance footage
Surveillance footage is kept only for as long as reasonably necessary for the purpose for which it was collected.
We may retain particular footage for longer where it is relevant to an incident, investigation, complaint, dispute, insurance claim, legal proceeding, law-enforcement request or other legitimate and lawful purpose.
When footage is no longer reasonably required, it will be securely deleted or otherwise disposed of in accordance with our data-retention practices.
Your rights regarding surveillance footage
Where surveillance footage contains your personal data, you may have rights in relation to that information under applicable data protection law.
Requests may be subject to legal limitations, including where providing footage would reveal personal data relating to another individual, prejudice an investigation, affect the rights of another person, or conflict with a legal or regulatory obligation.

2.15 Changes to this policy
We may update this Privacy Policy from time to time. We will post the updated version with a new effective date.
2.16 Contact and complaints
For any privacy question or to make a complaint, contact grid.x.admin@gridxnetwork.com. You also have the right to lodge a complaint with the Nigeria Data Protection Commission (NDPC).
3. Refund Policy
Effective date: 3 August 2026
3.1 Grid X credit is non-refundable
Grid X credit is non-refundable and non-withdrawable. Once you purchase credit, it is applied to your account as charge units and cannot be refunded to your bank account, converted back to cash, or transferred. We do not offer refunds for change of mind, for credit you have decided not to use, or for unused balances.
3.2 Limited exceptions
We will refund you in the following limited situations:
- You were charged twice for the same top-up (duplicate transaction).
- A confirmed Grid X service failure prevented you from using credit you had paid for — for example, a kiosk outage.
In these cases, our normal remedy is to correct the credit on your account so that you receive the credit you paid for. Where correcting the credit is genuinely not possible, we may, at our discretion, arrange a refund through Paystack to your original payment method. We do not otherwise pay money back.
3.3 Reservations
Credit deducted for a reservation is handled under the Reservation Cancellation and No-Show Policy (section 4). A valid cancellation returns the reserved credit to your account, whereas credit for a locked reservation or a no-show is forfeited.
3.4 Account deletion
If you delete your account, any unused credit is forfeited, as set out in the Terms (clause 1.7). You will be warned of any remaining balance before deletion is confirmed.
3.5 How to report a transaction problem
If you believe you were charged for credit you did not receive, or were charged twice, contact grid.x.admin@gridxnetwork.com with the date, amount, and any payment reference. We will review and, where the claim is valid under clause 3.2, correct your credit.
4. Reservation Cancellation and No-Show Policy
Effective date: 3 August 2026
4.1 How reservations work
When you reserve a station from the app, the required credit is deducted from your account immediately and held against that reservation. The reserved units leave your available balance at the moment you book.
4.2 Changing or cancelling a reservation
You can edit or cancel a reservation within 30 minutes of making it. After that 30-minute window, the reservation is locked and cannot be changed or cancelled.
If you make a reservation within 30 minutes of its start time, it is locked immediately and cannot be edited or cancelled at all.
In short: whichever limit is reached first applies. Booking close to the start time means the reservation is locked straight away.
4.3 What happens to your credit
Valid cancellation or edit (within the allowed window): the reserved credit is returned to your account as usable credit. It is not refunded to cash.
Locked reservation or no-show: the reserved credit is spent and forfeited, whether or not you attend. A station you reserved but did not use is not credited back.
4.4 Why this policy exists
Reserving a station holds it for you and prevents others from using it. The cancellation window gives you a fair chance to change your mind, while the no-show rule keeps stations available and reservations meaningful for everyone.
5. Acceptable Use Policy (Kiosk Rules)

These rules apply to everyone using a Grid X kiosk. They keep the space safe, fair, and available for all users.
5.1 Hours and staff
Kiosks operate from 8:00 am to 6:00 pm daily. A Grid X staff member is present during operating hours and can help you check in and answer questions. Please follow the reasonable instructions of Grid X staff at all times.
5.2 Using the space and equipment
Use stations, tables, chairs, and charging points for their intended purpose — charging devices and working.
Take care of Grid X equipment and the kiosk. You are responsible for any loss or damage you cause through misuse or careless use.
Do not tamper with, open, or interfere with the solar, electrical, or charging equipment, or attempt repairs or modifications.
One reserved station is for one user; do not occupy or block stations you have not reserved or paid for.
5.3 Behavior
Behave respectfully towards staff and other users. Harassment, threats, and abusive behavior are not allowed.
Do not use the kiosk for anything illegal, unsafe, or that disturbs or endangers others.
Do not run a business or commercial activity from the kiosk without Grid X's permission.
5.4 Your belongings
You are responsible for your devices and belongings at all times. Do not leave items unattended. Grid X is not responsible for loss of or damage to your property except where caused by our negligence (see Terms, clause 1.10).
5.5 If these rules are broken
If you break these rules, Grid X staff may ask you to stop or to leave the kiosk, and we may suspend or close your account. Serious or repeated breaches, or anything unlawful or unsafe, may be reported to the institution or the appropriate authorities. Grid X reserves the right to seek legal redress in court, or partake in any alternative dispute resolution mechanisms against any customer whose actions has caused damage to Grid X’s property or/and brand name
